Definitions Definitions In these terms and conditions, unless the context otherwise requires: (a) "We", "us" or "our" refers to iTechronics Limited; (b) "You" or "your" refers to the person, firm or corporation purchasing goods or services from us; (c) "Goods" means any computer hardware, software or any other IT-related products supplied by us; (d) "Services" means any IT-related services provided by us, including consulting, installation, configuration, support, maintenance, and training. Application These terms and conditions apply to all contracts for the supply of goods and/or services by us to you. Intellectual Property All content published and made available on our website is the property of iTechronics Ltd and the website’s creators. This includes, but is not limited to images, text, logos, downloadable files and anything that contributes to the composition of our website. Quotations and Orders (a) Any quotation given by us is valid for 30 days from the date of issue, unless otherwise stated. (b) We may accept or reject any order in whole or in part, and our acceptance of any order is subject to the availability of goods and/or services. (c) Once we have accepted an order, we will issue an invoice to you, and you must pay the invoice in full within the agreed timeframe which will be mentioned on the invoice as “Due date”. (d) If we cancel your order and have already processed your payment, we will give you a refund equal to the amount you paid. You agree that it is your responsibility to monitor your payment instrument to verify receipt of any refund. Performance of Services (a) We will use our reasonable endeavours to perform the services to a standard of reasonable skill and care. (b) We will not be liable for any delay in performing the services caused by circumstances beyond our reasonable control. (c) You must provide us with access to your computer systems, networks and any other relevant equipment or facilities as reasonably required for us to perform the services. Sale of Goods These Terms and Conditions govern the sale of goods and services available supplied by us. The following goods and services can be supplied by us: ● New and Ex-Lease / Used I.T. hardware and peripherals like computer laptops, tablets, desktops, servers, workstations, monitors, docking stations, routers, switches, mobile phones, cables, adaptors, spare parts. ● Full device setup, data backup / sanitization, virus removal / device reimaging, device servicing / repairs, server build / upgrade / maintenance, network setup / troubleshooting. These Terms and Conditions apply to all the goods and services that are supplied by us. All information, descriptions, or images that we provide about our goods and services are as accurate as possible. However, we are not legally bound by such information, descriptions or images as we cannot guarantee the accuracy of all the information sourced from third parties. The product images used are sourced from manufacturers or other third parties and are used for illustration purposes only. They may or may not show the actual product for sale. In case of bulk quantities it would not be possible to accurately describe the cosmetic condition of each individual unit hence terms like good, fair or average are used to describe majority of units in the lot. You agree to buy from us with the understanding of the above limitations that come with purchasing used goods. Used Products The products are rigorously tested by our trained staff prior to being listed. It is normal to expect some wear and tear and cosmetic blemishes on the equipment due its age and prior usage. Any unusual defect or anomaly will be noted in the description and will be reflected in the pricing. Third Party Goods and Services Our website may offer goods and services from third parties. We cannot guarantee the quality or accuracy of goods and services made available by third parties on our website. Shipping and Delivery of Goods When you purchase goods from us, the goods will be delivered through one of the following methods: ● Any one of the nationwide courier services available in New Zealand. ● Goods will be dispatched from our warehouse within 1-2 business days from when we confirm your order and send our Invoice. Please allow 5-7 business days for the courier. Please note that delivery times may vary due to circumstances beyond our control. ● Title to the goods will not pass to you until we receive payment in full for the goods. ● You will be required to pay delivery charges in addition to the price for the goods you purchase. ● You are required to provide us with a complete and accurate delivery address, including the name of the recipient. We are not liable for the delivery of your goods to the wrong address or wrong person as a result of you providing us with inaccurate or incomplete information. Warranty All equipment bought from iTechronics will carry a 90day RTB (return to base) warranty, unless stated or agreed otherwise. Where the Consumer Guarantees Act 1993, the Contract and Commercial Law Act 2017, or any other consumer protection legislation in your jurisdiction applies and cannot be excluded, these Terms and Conditions will not limit your legal rights and remedies under that legislation. These Terms and Conditions will be read subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and Conditions and that legislation, the mandatory provisions of the legislation will apply. Our warranty covers for any major hardware fault in the equipment that happens within a reasonable time from the date of purchase. Reasonable time can vary depending on the age, type and condition of the device when purchased. Please note that any faults caused by the user may not be covered. These include but are not limited to goods being damaged and software related issues. Batteries and other components for computers are tested using testing software. The results are indicative of battery health and are not conclusive. Due to the nature of battery cells and charging behaviour of users, the overall life of the battery cannot be accurately predicted hence the batteries are usually excluded from warranty as being consumables. LCD screens on laptops and monitors may have minor pressure marks. This is common in used devices and are not treated as fault since they do not affect the overall functionality of the device. Dead pixels may or may not be covered under warranty based on the industry standards for LCD screens. We strive to do the right thing for our customers as we value our relationship with them. Please contact us directly and we will do our best to work with you so the issue at hand can be resolved with the least amount of hassle. Confidentiality The Provider and the Customer acknowledge that in the course of providing the Services, they may have access to confidential information of the other party. Each party agrees to keep such information confidential and to use it only for the purposes of this Agreement. Limitation of Liability (a) Our liability for any breach of warranty or negligence in relation to the goods or services supplied by us is limited to the replacement or repair of the goods, or the supply of the services again. (b) To the extent permitted by law, we will not be liable for any indirect or consequential loss or damage, including loss of profits, revenue or business opportunities, arising out of or in connection with the supply of goods or services by us. Indemnity Except where prohibited by law, by using the goods and / or services supplied by us, you indemnify and hold harmless iTechronics Limited and our directors, officers, agents, employees, subsidiaries and affiliates from any actions, claims, losses, damages, liabilities and expenses including legal fees arising out of your use of goods and / or services supplied by us or your violation of these Terms and Conditions. Applicable Law These Terms and Conditions are governed by the laws of New Zealand. Severability If at any time the provisions set forth in these Terms and Conditions are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions. All other provisions will not be affected by the removal and the rest of these Terms and Conditions will still be considered valid. Changes These Terms and Conditions may be amended from time to time in order to maintain compliance with the law and to reflect any changes to the way we operate our business. The Terms and Conditions may change without notice. Termination (a) Either party may terminate the contract at any time by giving written notice to the other party. (b) If the contract is terminated by you for any reason other than our breach, you will be liable to pay us for any goods or services supplied by us up to the date of termination.
